End User Licence Agreement

Please read this End User Licence Agreement (“EULA”) before installing or using SimpleStreamOverlay. By installing, activating or using the software, you agree to these terms. If you do not agree, do not install or use the software. Nothing in this EULA excludes or restricts rights that cannot lawfully be excluded or restricted, including applicable statutory consumer rights.

1. About this agreement

This EULA is between you and the provider of SimpleStreamOverlay (“SimpleStreamOverlay”, “we”, “us” or “our”). It applies to the SimpleStreamOverlay Windows desktop application, the SimpleStreamOverlay Browser Bridge extension, associated components supplied with the product, and updates that we provide unless an update is accompanied by different terms.

Our website Terms, Privacy Policy, Browser Bridge Privacy Policy and Refund Policy may also apply to purchases, website use, data handling and refunds. If a provision of this EULA conflicts with a mandatory right you have under applicable law, that mandatory right takes priority.

2. Licence grant

Subject to this EULA and successful purchase or other authorised entitlement, we grant you a personal, limited, non-exclusive, non-transferable licence to install and use SimpleStreamOverlay for its intended purpose.

SimpleStreamOverlay offers monthly and annual subscriptions, or a one-time lifetime desktop licence for the purchased product, subject to these terms. “Lifetime” refers to the duration of the licensed product and does not promise that every third-party platform, operating system, browser, API or external service will remain available indefinitely.

The standard licence permits activation on up to two active devices at a time, unless your purchase or account expressly states a different device allowance.

3. Ownership

SimpleStreamOverlay is licensed, not sold. We and our licensors retain all rights, title and interest in the software, source code, design, branding, documentation and other intellectual property, except for rights expressly granted to you under this EULA. Your purchase does not transfer ownership of the software or its intellectual property.

4. Permitted use

You may use SimpleStreamOverlay for personal or commercial live-streaming and content-creation workflows, including displaying supported chat and stream information in your own broadcasts, subject to the rules and rights of the relevant streaming platforms and content owners.

You are responsible for your broadcasts, moderation decisions, recordings, archived chat content, and for ensuring that your use of third-party content complies with applicable law and platform terms.

5. Prohibited use

You must not, except where applicable law expressly permits you to do so:

• copy, redistribute, publish, sublicense, rent, lease, sell or commercially resupply the software or your licence key;
• share, sell or make available licence credentials or device credentials to unauthorised persons;
• circumvent, disable, tamper with or defeat licence, activation, security, integrity or access-control mechanisms;
• modify, reverse engineer, decompile or disassemble the software except to the extent that applicable law gives you a right to do so that cannot be restricted by contract;
• use the software to introduce malware, interfere with systems, gain unauthorised access, or engage in unlawful activity;
• misrepresent SimpleStreamOverlay as your own software or remove proprietary notices where they are presented.

6. Licence keys, activation and devices

Your licence key is intended for the authorised licence holder. SimpleStreamOverlay may use server-side entitlement checks, hashed licence information, device identifiers and device credentials to activate the software, enforce the applicable device limit, prevent unauthorised use, and support deactivation or revocation.

You are responsible for keeping licence credentials reasonably secure. If you believe a licence credential has been compromised, contact support. We may require reasonable verification before changing licence or device records.

7. Browser Bridge and local operation

Some features require the SimpleStreamOverlay Browser Bridge extension and a supported browser. The Browser Bridge reads supported live-chat, emote, viewer-count and related stream information from supported YouTube, Twitch and Kick pages that you choose to open in Microsoft Edge, Google Chrome or Mozilla Firefox and provides that information to the locally installed SimpleStreamOverlay application for the overlay workflow.

The Browser Bridge is a companion component and is not intended to provide standalone functionality. Its data practices are described in the Browser Bridge Privacy Policy.

8. Third-party platforms and services

SimpleStreamOverlay interoperates with third-party products and services such as YouTube, Twitch, Kick, Microsoft Edge, Google Chrome, Mozilla Firefox and OBS. Those services are owned and controlled by third parties and are subject to their own terms, policies, availability and technical changes.

We do not control third-party platforms and cannot guarantee that a particular integration will remain continuously available or unchanged. A third party may change its website, API, authentication, browser behaviour, content format or terms in a way that temporarily or permanently affects a SimpleStreamOverlay feature. We will use reasonable efforts to maintain supported integrations, but this does not override any statutory rights you may have if the digital content fails to meet legal requirements.

Names and trademarks belonging to third parties remain the property of their respective owners. References to third-party services describe compatibility and do not imply sponsorship or endorsement unless expressly stated.

9. Chat content, archives and user responsibility

SimpleStreamOverlay can display live chat and can create local text-file chat archives, including automatic archive batches during high-volume sessions. You control the computer on which those local files are created and are responsible for securing, retaining or deleting them as appropriate.

Chat messages, usernames, emotes and other third-party content belong to their respective users or rights holders. We do not grant you ownership of that content. You are responsible for complying with applicable privacy, moderation, copyright and platform requirements when displaying, recording, publishing or retaining chat content.

10. Updates, maintenance and future self-update functionality

We may release bug fixes, security updates, compatibility updates, performance improvements or feature updates. Updates may be necessary to maintain security or compatibility with Windows, browsers or supported streaming platforms.

We may introduce an optional or integrated self-update mechanism in a future version. If implemented, it may check for available SimpleStreamOverlay updates and retrieve authorised update packages. We will describe any material data handling associated with such functionality in the applicable privacy information.

A lifetime licence does not guarantee that all future products, major successor products, separately sold add-ons or services will be included without charge. We will not impose a new charge on an existing purchase without clearly informing you and obtaining any consent required by law.

11. Availability and system requirements

You are responsible for maintaining a compatible Windows computer, supported browser, internet connection where required, and any third-party software needed for the features you choose to use. Performance can vary with hardware, browser behaviour, stream activity, network conditions and third-party services.

We may discontinue support for obsolete operating systems, browsers or third-party interfaces where continuing support is impractical, insecure or no longer technically possible. Where consumer law requires particular remedies or information, those rights remain unaffected.

12. Security

You must not intentionally use SimpleStreamOverlay in a way that compromises the security or availability of the software, our licensing infrastructure, another user, or a third-party service. Security controls may include validation, rate limits, entitlement checks and revocation of credentials that are reasonably believed to be compromised or abused.

If you discover a suspected security vulnerability, please report it through our Support page rather than publicly exploiting or disclosing it in a way that creates avoidable harm.

13. Refunds, chargebacks and revocation

Refunds are governed by our Refund Policy and applicable law. Where a purchase is fully refunded, reversed, charged back, cancelled or otherwise ceases to provide a valid entitlement, the associated software entitlement and active device credentials may be revoked.

We will not use this provision to remove statutory rights or remedies. A licence will not be revoked merely to avoid obligations that apply to us under consumer law.

14. Suspension and termination

You may stop using the software at any time. We may suspend or terminate a licence where there is a material breach of this EULA, fraud, unauthorised redistribution, deliberate circumvention of licensing/security controls, or where the underlying purchase has been validly refunded, reversed or charged back.

Where reasonably practicable and appropriate, we may give you an opportunity to remedy a breach before termination. Termination does not affect rights or liabilities that arose before termination, and provisions concerning ownership, restrictions, liability and other terms intended by their nature to survive will continue to apply.

15. Digital-content quality and statutory rights

If you are a consumer, the software is supplied subject to legal rights that may include requirements that paid digital content be of satisfactory quality, fit for a particular purpose made known where the law applies, and as described. Applicable law may provide remedies if those requirements are not met.

Nothing in this EULA or any voluntary warranty replaces, limits or excludes statutory consumer rights that cannot lawfully be restricted.

16. Warranties

We aim to provide SimpleStreamOverlay with reasonable care and to maintain the product as described. Because software depends on complex operating systems, browsers, networks and third-party services, we do not promise uninterrupted or error-free operation in every environment or that every third-party integration will always remain available.

Any limitation or disclaimer in this EULA applies only to the extent permitted by law and does not reduce rights or remedies that the law does not allow us to exclude.

17. Liability

Nothing in this EULA excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that applicable consumer law does not permit us to exclude or limit.

Subject to those protections, we are not responsible for loss caused solely by matters outside our reasonable control, misuse of the software, unauthorised modifications, unsupported environments, or failures of third-party platforms where we are not legally responsible for that loss.

If you use SimpleStreamOverlay primarily for business purposes, different legal rules may apply to business losses. You should maintain appropriate backups and operational safeguards for commercially important streams and records.

18. Privacy

Our handling of personal information is described in the Privacy Policy and, for the browser companion, the Browser Bridge Privacy Policy. Those documents explain relevant website, licensing, analytics and Browser Bridge data practices.

19. Support

Support is available through the SimpleStreamOverlay Support page. Please do not send passwords, full payment-card details, private keys or other unnecessary secrets in support messages.

20. Changes to this EULA

We may update this EULA to reflect changes in the software, law, security requirements or our business practices. We will not use a change to retrospectively remove rights that have already accrued or to impose a material new obligation on an existing consumer without any notice or consent required by law.

The version presented when you purchase or accept materially updated terms may be retained for reference where appropriate.

21. Transfer and assignment

You may not sell or transfer your licence to another person unless we expressly permit it or applicable law gives you a right that cannot be restricted. We may transfer our rights and obligations as part of a legitimate business transfer, reorganisation or sale, provided this does not reduce mandatory consumer protections.

22. Governing law and disputes

This EULA is governed by the laws of England and Wales, subject to any mandatory protections that apply to you under the law of the country or territory where you live. If you are a consumer, nothing in this clause deprives you of mandatory rights or access to courts that applicable law gives you.

We encourage you to contact Support first if a dispute arises so that we can try to resolve the issue promptly.

23. Severability

If a court or competent authority finds part of this EULA unlawful or unenforceable, the remaining provisions will continue to apply so far as legally possible. Any invalid provision will be treated only to the minimum extent necessary to address the issue.

24. Entire agreement

This EULA, together with the applicable purchase terms and policies referenced in it, forms the agreement governing your licensed use of SimpleStreamOverlay. Nothing in this clause excludes liability for fraud or prevents you from relying on rights or representations that applicable law does not allow to be excluded.
